Terms of Service
Effective Date: October 20, 2022
These Terms and Conditions (“Agreement”) govern all services provided by
APH Expert Inc. (“Company”) to the customer (“Client”).
By requesting, authorizing, scheduling, or permitting services,
Client agrees to be legally bound by this Agreement.
1. Scope of Services
The Company provides residential and commercial HVAC and plumbing
installation, repair, maintenance, inspection, and consulting services
in accordance with applicable Illinois law.
All services are performed based on visible and accessible conditions.
2. Estimates and Change Orders
All estimates are preliminary and non-binding unless expressly stated
in writing. Final pricing may change due to hidden conditions, code
requirements, material availability, structural limitations,
manufacturer specifications, or Client-requested modifications.
Additional work requires authorization.
3. Authorization to Perform Work
Client authorizes the Company to access the property and perform
services. Authorization may be provided via signature, email, SMS,
recorded phone call, online submission, or verbal confirmation.
Such authorization is legally binding.
4. Payment Terms
Payment is due immediately upon completion of services unless otherwise
agreed in writing. The Company does not accept credit or
debit cards. Accepted payment methods include cash, check, Zelle,
ACH transfer, or other approved electronic payments.
Non-payment constitutes material breach of this Agreement.
5. Deposits and Prepayments
The Company may require deposits or prepayments for equipment,
special-order materials, or large projects. Deposits become
non-refundable once materials are ordered or labor is scheduled.
6. Subcontractors and Personnel
The Company may utilize employees, independent contractors, and
subcontractors. All such personnel are authorized agents of the Company.
Client consents to such delegation.
7. Independent Contractor Status
The Company operates as an independent contractor. Nothing herein
creates an employment, partnership, joint venture, or agency
relationship between Client and Company.
8. Licensing and Insurance
The Company maintains required licensing and insurance coverage.
Liability is limited to the maximum extent permitted by Illinois law.
Proof of insurance is available upon request.
9. Warranties
Labor is warranted for one (1) year from completion.
Parts are covered solely by manufacturer warranties.
Warranties are void if systems are altered, misused, neglected,
or serviced by unauthorized parties.
10. Existing Conditions and Hidden Defects
The Company is not responsible for failures caused by corrosion,
aging systems, improper prior installations, code violations,
structural deficiencies, environmental conditions, or concealed defects.
11. Delays and Force Majeure
The Company is not liable for delays caused by events beyond reasonable
control, including supply chain disruptions, manufacturer delays,
weather, labor shortages, governmental actions, or utility interruptions.
12. Client Responsibilities
Client shall provide safe, unobstructed access to work areas, functional
utilities, parking access, and a hazard-free environment.
Unsafe conditions may suspend services without liability.
13. Cancellations and Rescheduling
A minimum of 24-hour notice is required for cancellations.
Late cancellations or no-shows may result in service charges.
14. Property Damage and Risk Allocation
Minor incidental damage may occur during normal work.
The Company is not responsible for cosmetic or structural damage
resulting from necessary access or pre-existing conditions,
absent gross negligence or willful misconduct.
15. Equipment and Material Abandonment
Unpaid equipment or materials remaining after thirty (30) days
may be removed, stored, resold, or disposed of without liability.
16. Mechanic’s Lien Rights
The Company reserves all rights under the Illinois Mechanic’s Lien Act,
including the right to record and enforce liens for unpaid services.
17. Dispute Resolution and Binding Arbitration
All disputes shall be resolved by binding arbitration in Illinois
administered under applicable rules. Client waives the right to jury
trial and class action participation.
18. Limitation of Liability
The Company’s total liability shall not exceed the total amount paid
for the services giving rise to the claim. The Company shall not be
liable for indirect, incidental, or consequential damages.
19. Indemnification
Client agrees to indemnify and hold harmless the Company from all claims,
losses, damages, or expenses arising from misuse, modification,
third-party interference, or Client negligence.
20. Privacy and Data Protection
Customer information is confidential and used solely for business
purposes. Data is not sold or disclosed except as required by law.
21. Electronic Communications Consent
Client consents to communications via phone, SMS, and email regarding
estimates, scheduling, invoices, warranties, and collections.
22. Recording Consent
Client consents to recording of phone calls for quality assurance,
training, and legal compliance.
23. Assignment and Transfer
The Company may assign or transfer its rights and obligations
without Client consent.
24. Severability
If any provision is held invalid, remaining provisions remain in force.
25. Governing Law and Venue
This Agreement is governed by Illinois law. Venue shall be
located in Illinois.
26. Entire Agreement
This Agreement constitutes the complete and exclusive agreement
between the parties and supersedes all prior communications.
